The main right and obligation of the Supervisory Board is to provide permanent supervision over the Company’s operations, including carrying out accounting audits and supervision over the activities of the Management Board, in terms of their rationality and purpose. In accordance with the Articles of Association of Govena Lighting S.A., the Supervisory Board of the Company consists of five members. The term of office of the individual SB members runs until 5 November 2020 (this is not an appointment for a joint term of office).

The Members of the Issuer’s Supervisory Board are

Michal Kulczyk – Chairman of the supervisory board
He graduated in construction at the J.J. Śniadecki’s University of Technology and Natural Sciences in Bydgoszcz.
He has held managerial positions in general contracting for the construction of buildings on the Polish and German markets in P.W. LECH sp. z o.o., Regres sp. z o.o., Pre-Fabrykat sp. z o.o., and Leszek Piekut POLVIT.
He has extensive experience in managing and supervising domestic and international private and public infrastructure investments implemented in Poland and Europe.

 

Aleksandra Przedpełska – Deputy Chairman of the Supervisory Board
Graduate of the Faculty of Law and Administration at the Adam Mickiewicz University in Poznan, the Faculty of Law and Administration at the Casimir the Great University in Bydgoszcz, and the Finance at the Banking Academy in Bydgoszcz. Currently she runs her own company.

 

Kamilla Tomczak – Member of the Supervisory Board
Graduate of the Casimir the Great University in Bydgoszcz, and MBA studies at the Academy of Finance and Management in Warsaw.
From 2011 to 2013, Sales Director and Managing Director of Dospel sp. z o.o., responsible for building a range of own-brand products, in the years 2010-2013, Managing Director of Idmar Fabryka Armatury sp. z o.o., responsible for the reorganisation of trade processes and building new product-distribution channels.
He has extensive experience as a negotiator and manager with many years in managing operational, trade and purchasing processes in the B2B and FMCG sectors for Polish and international corporations, as well as a rich portfolio of cooperation with major retail chains in Poland and abroad, i.e. Leroy Merlin and Castorama. Long-term Member of the Supervisory Board of the Europejski Fundusz Energii S.A., responsible for the implementation of infrastructure and development projects.

 

Aleksandra Piekut – Member of the Supervisory Board
Ph. D. Eng. in the field of protection and shaping of the environment at the Faculty of Agriculture and Biotechnology of the J.J. Śniadecki’s University of Technology and Natural Sciences.  Since 2016 she has held the position of a Deputy Director at Leszek Piekut POLVIT, and has extensive scientific and practical experience in the field of new technologies related to environmental protection and ecology.

 

Kamil Szulc – Member of the Supervisory board
Graduated at the J.J. Śniadecki’s University of Technology and Natural Sciences, in MBA studies “Human-Resource Management and Quality Management”. Since 2011 he has been a Process Engineer at Stomil S.A., responsible for supervising and improving the technological process.
 He has professional experience in developing and controlling technological processes and managing teams responsible for their implementation.
